RisingFlow provides custom-built AI solutions, including automation, integrations, and AI agents. Every project is governed by a written agreement or proposal, which includes scope, pricing, timelines, and deliverables. We reserve the right to refuse projects that are not a good fit.

2. Client Responsibilities

To work effectively, you agree to:

• Provide timely access to information, tools, or team members as needed

• Review and approve deliverables promptly

• Use our services for legal business purposes only

Failure to collaborate or provide required inputs may delay delivery or increase costs.

3. Payments

All services require upfront or milestone-based payments as outlined in your agreement.

• Invoices are due upon receipt unless otherwise stated

• Late payments may result in paused work or termination

• A 1.5% monthly late fee may apply

• No refunds will be provided once work begins

We reserve the right to withhold deliverables until payment is received in full.

4. Intellectual Property

We retain rights to all custom code, processes, and tools developed during a project until full payment is received. After payment:

• You own the final deliverables built specifically for you

• We may reuse non-client-specific tools, templates, or code libraries

You may not resell or redistribute our work without written permission.

5. Confidentiality

Any confidential information shared with us will be protected and not disclosed to third parties without your permission, unless required by law.

6. Disclaimers & Liability

We aim to build reliable, value-driven AI solutions — but you understand:

• Results depend on proper use, data quality, and your tech setup

• RisingFlow is not liable for indirect losses like revenue loss, business interruption, or system downtime

• Total liability is capped at the amount you paid us for the relevant service

We do not guarantee that all AI solutions will work without bugs or be fit for any specific outcome.

7. Termination

Either party may terminate a project at any time in writing. You’ll be invoiced for all work completed up to that point. Any unused deposit may be retained to cover work already performed.

8. Changes to These Terms

We may update these terms at any time. The latest version will always be posted here. Continued use of our services means you accept the current terms.

9. Governing Law

These terms are governed by the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.
